Registered Company Address and Virtual Offices in Indonesia

Direct Answer

Every Indonesian company must have a registered business address inside Indonesia. That address is the company’s official domicile. It appears in the articles of association and on licenses, tax records, and bank files. A virtual office can be that address for many service businesses, but only if the building sits in a lawful office or commercial zone, the provider holds valid licenses, and the company can receive mail and inspections there. Factories, warehouses, restaurants, construction sites, and other on-site businesses still need a real operating location.

Key Takeaways

  1. Indonesian Company Law requires every limited company to have a domicile in an Indonesian city or regency, plus a full street address that matches that domicile.
  2. A registered address is for government mail, licensing, tax, and banking. Daily work can happen elsewhere, but the two addresses must still make sense for the real business.
  3. Moving within the same city or regency is usually lighter. Moving to another city or regency changes the legal domicile and needs a shareholder decision plus Ministry of Law approval.
  4. Virtual offices are legal for many desk-based firms if the provider has a real room, support services, a valid NIB, and a written contract. Taxable Entrepreneur (PKP) status has extra rules, including a one-year contract and a service-sector activity.
  5. Jakarta checks zoning through the Detailed Spatial Plan (RDTR) and Spatial Utilization Conformity (KKPR). An address in a housing zone is a common reason OSS or tax applications fail.

What Are the Registered Business Address Requirements in Indonesia?

Indonesian law treats a company’s address as part of its legal identity. Article 5 of Law No. 40 of 2007 on Limited Liability Companies says a company must have a name and a domicile in Indonesia, set out in the articles of association. It must also have a complete address that matches that domicile. The company must print that name and full address on letters, announcements, printed materials, and deeds.

In practice, “domicile” (tempat kedudukan) means the city or regency, such as South Jakarta or Surabaya. The “complete address” is the street, building, floor, and unit. Both must sit inside Indonesia. A private limited company in Indonesia cannot use an overseas mailbox as its legal home.

The registered address is the official contact point. Government agencies send notices there. Banks check it during KYC. The Online Single Submission (OSS) system stores it on the company’s NIB, or Business Identification Number. Invoices, domain registrations, and many licenses use the same line.

The registered address does not have to be the only place the company works. A consulting firm may register in Jakarta and serve clients online. A manufacturer may keep a Jakarta head office and run a factory in an industrial estate. The key test is consistency. If the license, tax file, and real activity tell three different stories, later checks fail.

To register an address, companies usually need:

  • A lease, virtual-office contract, or proof of the right to use the premises
  • A domicile letter from the building or provider
  • Zoning that matches the activity, often confirmed as KKPR through OSS
  • The same address written in the deed, NIB, tax registration, and bank application

Foreign-owned companies follow the same domicile rule when they choose among foreign company registration options. A PT PMA still needs an Indonesian address before the notary can complete the deed.

Residential Address Restrictions

Companies generally cannot use a house as a PT or PT PMA domicile. OSS now checks the address against the local spatial plan. If the pin falls in a yellow residential zone, the system may reject the location or flag it for later review.

There is a narrow path for some small, local businesses that truly work from home. In those cases, neighbors or local officials may need to confirm that the activity will not change the house into a shop, block the sidewalk, create noise or pollution, or run industrial machines. That path is about home-based work. It is not the same as renting a “cheap virtual office” inside a house.

Foreign-owned companies should treat villa, homestay, and housing-complex addresses as high risk. Banks and tax officers often reject them. A commercial building in an office or mixed-use zone is the safer default.

A virtual office is also not a loophole around zoning. The building itself must be lawful for office use. If the provider operates from a converted house, the client inherits that problem.

Changing Your Registered Business Address

Companies move for many reasons: cheaper rent, a better district, a new warehouse, or a switch from a virtual office to a staffed floor. The process depends on whether the new address stays in the same city or regency.

Plan the move before the old lease ends. An expired virtual-office contract that is still listed in OSS is a common trigger for inspections. Update the deed, NIB, tax file, and bank records in one sequence so the addresses do not conflict.

Address Changes Within the Same District

“Same district” here means the same city or regency named as the company’s domicile. A move from one South Jakarta tower to another South Jakarta tower is this type of change. The legal domicile in the articles of association often stays the same. Only the complete street address changes.

Typical steps include:

  • Sign a new lease or virtual-office contract
  • Collect a new domicile letter
  • Update the address in OSS so the NIB shows the new unit
  • Tell the tax office if the registered correspondence address changes
  • Tell the bank and update invoices, website, and letterhead

This path is lighter. It may not need a full amendment of the articles of association, as long as the city or regency in the deed does not change. Still check the deed wording. Some deeds print the full street address, not only the city. If they do, a notarial amendment may still be needed.

Keep KKPR in mind. A new building in the same city can still sit in the wrong zone for the company’s KBLI code. Same city does not mean automatic approval.

Address Changes to a Different District

A move to another city or regency changes the company’s legal domicile. Examples include moving from South Jakarta to Bekasi, or from Bandung to Surabaya. Article 21 of the Company Law treats a change of domicile as an amendment that needs Ministry of Law approval.

This path is heavier:

  1. Hold a General Meeting of Shareholders, or use a unanimous written circular resolution.
  2. Amend the articles of association to state the new city or regency.
  3. Have a notary file the amendment through SABH for ministerial approval.
  4. Update OSS and the NIB.
  5. Move the tax registration to the tax office that covers the new address.
  6. Recheck licenses, KKPR, and any local permits tied to the old location.
  7. Update the bank, social security, and investment reports (LKPM) if the project location changes.

For a PT PMA, a new city can also be a new “project location.” Investment-plan rules are counted per business line and location, so confirm this before the move.

Expect more time. Tax office changes, license re-mapping, and deed approval do not happen on the same day.

Documents Requiring Revision

Whatever the distance of the move, every document that prints the old address should be checked. The usual set includes:

  • Deed of establishment or deed of amendment, and the Ministry of Law approval letter
  • NIB in OSS
  • Taxpayer Identification Number (NPWP) and tax registration certificate (SKT)
  • Taxable Entrepreneur status (PKP), if the company has it
  • Sector licenses and standard certificates tied to the site
  • Corporate bank records, since banks verify the address before opening or updating a company account
  • Invoices, contracts, company stamps, and the website

Do not leave one system on the old address. OSS, tax, and the Ministry of Law now share data. A mismatch can freeze a later filing.

What Are the Virtual Office Regulations in Indonesia?

A virtual office in Indonesia is not an imaginary address. Tax rules describe it as a real office with a physical room and support services. A virtual-office provider rents that setup to two or more businesses, for a fee. It is different from renting a whole building or a dedicated serviced office.

The company gets a commercial address, mail handling, a meeting room when needed, and papers for the notary and OSS. Staff do not have to sit there every day. The building, the provider, and the contract still have to be real.

Indonesia allows this model for many companies. The Job Creation reforms and risk-based licensing through OSS made location checks digital. They did not abolish the need for a lawful domicile. Authorities worry about empty shells, fake providers, and addresses that cannot be inspected. That is why later stages — tax, banking, and field checks — are stricter than the first NIB click.

Regulatory Concerns and Compliance Requirements

Regulators focus on three gaps.

First, they cannot find the company. If mail, tax officers, or bank staff cannot reach anyone at the listed address, the company looks inactive or fictitious.

Second, some providers lack their own licenses. A legitimate provider should hold an NIB, operate from a building approved for office use, and offer actual reception and mail services. Tax guidance also treats the provider as a business in its own right. For PKP applications, the provider is expected to be a Taxable Entrepreneur and to keep a room that officers can visit.

Third, the address may pass incorporation and fail later. Notaries and OSS often accept a clean commercial virtual office for the deed and NIB. Problems appear when the company applies for PKP, opens a bank account, or faces a post-license inspection.

Director General of Taxes Regulation PER-7/PJ/2025 sets the current tax test. A company body may use a virtual office as its PKP place only if:

  • Its domicile is at that virtual office, and
  • It has only one place of business, which is that same virtual office

If the company has another operating site, PKP is confirmed at that other site, not at the virtual office.

Three extra conditions then apply:

  • The main business classification must be a service activity that can actually be done at a virtual office
  • The contract must run at least one year from the PKP application date
  • The address cannot be used only as a mailbox

Tax officers may confirm PKP first on documents, including photos and a location map. They still can inspect the site within 30 days. If the location does not match the file, PKP can be revoked.

Choose a provider that can survive that visit. Ask whether the building is in an office zone, whether mail is logged, whether a room can be shown, and whether other PT PMA clients have used the address for banking.

Criteria for Using Virtual Offices in Jakarta

Jakarta has the clearest local trail. Circular Letter of the Head of BPTSP DKI Jakarta Number 6 of 2016 already allowed virtual domicile for domicile letters and follow-on licenses. That circular did not make every Jakarta pin legal.

Governor Regulation of DKI Jakarta Number 31 of 2022 on the Detailed Spatial Plan (RDTR) now feeds OSS. The system checks whether the building sits in a designated office sub-zone (Sub Zona Perkantoran, often coded KT) or another commercial zone that allows office use. A virtual office in a housing zone can be rejected even if the provider’s brochure looks professional.

Jakarta users should also confirm KKPR, or Spatial Utilization Conformity. Without it, the address is not a complete location for licensing.

Practical Jakarta checks before you sign:

  • The tower is a commercial or office building, not a house
  • Building management will issue a domicile letter
  • The provider’s NIB and tax status are in order
  • The contract states the right to use the address for company registration
  • Meeting rooms and mail handling are real, not promised only on a website

Jakarta also has rules for businesses that try to work from a house or small local space. Those rules limit activities that change a home’s function, occupy public sidewalks, disturb neighbors, or use industrial machines. Treat that as a home-business test. Do not confuse it with a CBD virtual office.

Local practice differs outside Jakarta. Other cities may accept similar commercial virtual offices, but zoning maps and tax-office habits are not identical. Confirm the exact building, not only the city name, before registering the company.

Business Types and Office Requirements

The legal question is not “Is a virtual office allowed in Indonesia?” The useful question is “Is a virtual office allowed for this activity, in this building, at this stage?”

KBLI codes drive the answer. Low-risk, desk-based services often fit. Activities that need a site visit, a warehouse, a kitchen, a clinic, or a construction certificate usually do not.

Compare options in EZPZ’s guide to a virtual office or physical office for a PT PMA before you lock the deed. Changing later is possible, but it means new contracts, filings, and fees.

Companies Requiring Physical Offices

These businesses typically need a real operating site, not only a shared address:

  • Manufacturing and processing, which belong in industrial areas
  • Warehousing, logistics, and fleet-based transport
  • Construction contractors that need field bases and business-entity certificates
  • Hotels, restaurants, cafés, and other food or lodging venues
  • Clinics, labs, and other health facilities
  • Retail shops that serve walk-in customers
  • Tourism businesses that face a physical survey before a permit is issued
  • Property developers handling large on-site projects

E-commerce and wholesale trading sit in a grey zone. A trading company may obtain an NIB with a virtual office. PKP and bank checks often fail if there is no warehouse, showroom, or staffed office. If goods move through Indonesia, plan a physical site early.

High-risk KBLI codes can also trigger inspections or technical licenses. A virtual mailbox will not satisfy those visits.

Companies Permitted to Use Virtual Offices

Virtual offices work best for companies whose value is created at a desk, not on a factory floor. Common fits include:

  • Management and business consulting
  • Information technology and software services
  • Accounting, bookkeeping, and similar professional services
  • Digital marketing and creative studios
  • Holding or investment-administration companies with no local plant
  • Light service firms that meet clients by appointment

Even these firms must keep the address usable. Renew the contract before it lapses. Collect mail. Be able to show a room if a tax officer or banker visits. If the company later adds import, storage, or a shop, move the domicile or add an operating location.

A staged plan is often the cleanest path. Use a compliant virtual office to incorporate, open a bank account, and test the market. Shift to a serviced office or leased floor when staff, inventory, or PKP inspections require more substance.

A Registered Company Address in Indonesia Is a Legal Identity, Not a Design Choice

Company Law requires a domicile in an Indonesian city or regency and a complete address that matches it. That line follows the company through the deed, NIB, tax file, and bank.

Virtual offices are a lawful option for many service businesses. They are not a universal shortcut. The building must sit in the right zone. The provider must be a real licensed operator. Tax rules now spell out when a virtual office can support PKP, including a one-year contract and a service activity that can actually be done there. Manufacturers, warehouses, restaurants, and other on-site businesses still need physical premises.

Choose the first address with the next 12 to 24 months in mind. Moving inside the same city is manageable. Moving to another city changes the domicile and restarts several filings. A careful address decision at setup is cheaper than repairing a rejected PKP file later.

Frequently Asked Questions

Does every Indonesian company need a registered address?

Yes. A limited company must have a domicile in Indonesia and a complete address that matches it. That address is used for government mail, licenses, tax, and banking.

Can a PT PMA use a virtual office?

Often yes, if the activity is office-based, the building is in a lawful commercial or office zone, and the provider can issue a proper contract and domicile letter. It is a poor fit for factories, warehouses, restaurants, and other site-based work.

Can I register my company at a house?

Usually no, especially for a PT PMA. OSS checks zoning, and residential pins are frequently rejected. Some small local home businesses may get neighbor approval, but that is not a standard company-domicile path.

What is the difference between moving within the same city and moving to another city?

A move inside the same city or regency often updates the street address only. A move to another city or regency changes the legal domicile, so shareholders must amend the articles of association and obtain Ministry of Law approval.

Can I get PKP status with a virtual office?

Yes, if tax rules are met. PER-7/PJ/2025 allows PKP at a virtual office when it is the company’s only place of business, the main activity is a service that can be done there, the contract lasts at least one year, and the address is not used only for mail.
